Terms of Service

The agreement governing your use of Geogent Labs' AI voice agent platform.

We provide this document in several languages for convenience. If there is any conflict between versions, the English version prevails. This page is for general information and is not legal advice.

1. Acceptance of These Terms

These Terms of Service ('Terms') form a binding agreement between you and Geogent Labs LLC ('Geogent', 'we', 'us', or 'our'), a limited liability company registered in Georgia (registered firm name: შპს ჯეოჯენტ ლაბს; identification number 445827151), and govern your access to and use of the Geogent Voice AI platform, website, and related services (the 'Services').

By creating an account, or by accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if you are barred from doing so under the laws of Georgia or any other applicable jurisdiction, including applicable sanctions and export-control laws.

3. The Services and Licence to Use

The Services are a hosted platform that lets you create, configure, and operate AI voice agents to make and receive calls and related interactions.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. We may update, change, or discontinue features of the Services from time to time.

4. Accounts and Security

You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at info@geogentlabs.com if you suspect any unauthorized use.

5. Acceptable Use

You agree not to misuse the Services. In particular, you must not:

  • use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
  • send unlawful telemarketing, spam, robocalls, or other communications that violate applicable telephony, anti-spam, or consumer-protection laws;
  • impersonate any person or organization, or misrepresent the AI nature of a call where disclosure is required by law;
  • harass, threaten, defraud, or harm others, or generate illegal or abusive content;
  • infringe the intellectual-property or privacy rights of others;
  • attempt to gain unauthorized access to, disrupt, or compromise the Services or any related systems, or introduce malware;
  • reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent this restriction is prohibited by law;
  • scrape or harvest data from the Services without authorization, or use the Services to build a competing product or to train machine-learning models for third parties;
  • resell or provide the Services to third parties except as expressly permitted.

6. Telephony and Consent Compliance

You are solely responsible for ensuring that your use of the Services — including any calls you place or receive, any recording, and any AI-assisted interaction — complies with all laws that apply to you and to the people you contact. These may include the U.S. Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, state 'all-party' call-recording consent laws, Do-Not-Call requirements, and the GDPR and other privacy laws.

You are responsible for obtaining any notice or consent required before contacting or recording an individual. You will not rely on Geogent to obtain that consent on your behalf.

7. Customer Content and Ownership

You retain all rights to the content you upload, configure, or transmit through the Services, and to the call recordings and transcripts generated for you ('Your Content'). We do not claim ownership of Your Content.

You grant us a limited, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely to provide, secure, and support the Services for you. We do not use Your Content to train, fine-tune, or improve AI or machine-learning models, and we do not sell Your Content.

We may generate aggregated, de-identified statistics about use of the Services that do not identify you, Your Content, or any End User, and we may use those statistics to operate and improve the Services.

If you send us feedback or suggestions, you grant us the right to use them without restriction or any obligation to you.

8. Third-Party Services

The Services interoperate with third-party providers, such as carriers, AI model providers, and integrations you connect. You may need your own accounts and credentials with those providers, and their separate terms govern your use of them. We are not responsible for third-party services and make no guarantees about them.

9. Fees and Billing

Paid features are billed according to the plans and pricing shown at sign-up or on our website, which may include subscription fees and usage-based charges. Payments are processed through our payment provider, Paddle, acting as merchant of record.

Usage-based charges, such as call minutes, accrue as you use the Services. Unless you set usage limits, we do not automatically stop inbound or outbound calls, and you are responsible for all usage incurred under your account, including usage that exceeds your expectations.

Fees are exclusive of taxes unless stated otherwise, and you are responsible for applicable taxes. We may change fees on prospective notice; changes do not apply to periods already paid.

Except as required by applicable law or expressly stated otherwise, fees and usage charges are non-refundable. If we terminate your account without cause, we will refund any prepaid fees for the unused portion of your subscription term on a pro-rata basis. Refunds, where due, are handled through Paddle.

10. Service Availability

We work to keep the Services available and reliable, but we provide them on an 'as available' basis and do not guarantee uninterrupted or error-free operation. Any specific uptime commitment or service-level agreement applies only if it is set out in a separate written order or agreement with you.

11. Intellectual Property

The Services, including all software, models, content, and trademarks we provide (excluding Your Content), are owned by Geogent and our licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided 'as is' and 'as available' without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements or that the outputs of AI features will be accurate or appropriate for your use.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the total amount you paid us for the Services in the twelve (12) months before the event giving rise to the liability.

Nothing in these Terms excludes or limits either party's liability where it cannot be excluded or limited under applicable law — including liability for intent or wilful misconduct, gross negligence, death or personal injury caused by negligence, fraud, or any liability that may not be limited under Georgian consumer-protection law.

14. Indemnification

You will defend, indemnify, and hold harmless Geogent and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, Your Content, your violation of these Terms or applicable law, or your violation of telephony, anti-spam, or privacy laws (including the TCPA and similar regulations).

15. Term and Termination

These Terms apply for as long as you use the Services. You may stop using the Services and close your account at any time.

We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if your use poses a security or legal risk. On termination, your right to use the Services ends and we may delete your account data after any period stated in our Privacy Policy or required by law.

Provisions that by their nature should survive termination — including ownership, accrued fees, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the 'Last updated' date, and for material changes we will provide reasonable advance notice where required. Your continued use of the Services after the changes take effect means you accept the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the substantive laws of Georgia, without regard to its conflict-of-laws rules. Where you deal with us as a consumer, this does not deprive you of the protection of any mandatory provisions of the law of your country of residence.

Before bringing a formal claim, the parties will try in good faith to resolve any dispute informally by contacting info@geogentlabs.com. If the dispute is not resolved, the parties agree that it will be subject to the jurisdiction of the courts of Georgia located at Geogent's registered seat in Batumi, in accordance with the Civil Procedure Code of Georgia. This does not deprive a consumer of any right to bring or defend proceedings in the courts of their country of residence where mandatory law so provides.

18. Export Controls and Sanctions

You must comply with all applicable export-control and sanctions laws. You represent that you are not located in, and will not use the Services from, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list.

19. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, failures of carriers or third-party providers, and disruptions to power or telecommunications.

20. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

21. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of it.

22. Entire Agreement

These Terms, together with our Privacy Policy and any order or agreement you enter into with us, are the entire agreement between you and Geogent regarding the Services and supersede any prior agreements on that subject.
